The following Website Maintenance Agreement (“Agreement”) is a binding agreement between yourself (the client) and San Clemente Website Design (SCWD) hereafter “The Company”. The purpose is for website maintenance services for a designated amount agreed by both parties.
Scope of work:
SCWD agrees to provide Client with monthly website maintenance.
“The Client” acknowledges that SCWD will bill credit card that they authorize automatic billing by SCWD on an on-going basis during the term of this Agreement. Payments must be submitted in advance of receiving the Services from SCWD. Prior to service commencement they agree to provide billing information, including name, address, email and telephone number. If payment is not received within ten (10) days of due date then the Services will be suspended until payment is received in full.
“The Client” hereby authorizes SCWD to access their web hosting account, providing active user name / password combinations for access to the server via FTP, assuring that ‘write permissions’ are in place on the assigned hosting provider that the client has provided.
Although every attempt will be made to maintain secure backups of the Client’s database and website files, SCWD will not be responsible for data loss (and any resulting inability to restore data to either the Client’s database or website) due to Client-side phenomena, such as viruses, hacks, worms, etc. that have been downloaded, executed or otherwise activated on the Client’s computer system. Some of these phenomena can remain dormant for a period of time before corruption of the data files, applications, or entire computer system becomes apparent. In such a scenario, if SCWD backs up files that are themselves corrupt, SCWD is not responsible for any inability to restore them to the Client’s website or database.
“The Client” may cancel this website maintenance agreement at any time, by providing thirty (30) written notice, provided that payment is up-to-date. SCWD reserves the right cancel this website maintenance agreement at any time, for any reason, without prior notification and will provide a cancellation notice either electronically or in writing sent to the address on file.
Authorization of Agreement
“The client” “hereby agrees that once they have clicked on the “Order Now” button, they agree to be bound by and to comply with this Agreement using their digital signature which is a legal equivalent of their signature on a written contract.
This Agreement shall be governed by and construed in accordance with the laws of California and The United States and any dispute arising under or in connection herewith shall be presented in and determined by these courts exclusively.
